Terms of Service

These Terms of Service ("Terms") govern access to and use of the cmd+post platform, including cmdplus.tech and the associated application (together, the "Service"), provided by Themyscira (Pty) Ltd, trading as cmd+post ("cmd+post", "we", "us", "our"). By creating an account, submitting a Pro membership request, or otherwise using the Service, you ("you", "Customer", "User") agree to these Terms. If you are entering into these Terms on behalf of an organisation, you confirm you have authority to bind that organisation.

1. The Service

cmd+post is a production management platform for post-production teams, providing facility scheduling, project and task tracking, talent booking, billing and invoicing, live frame-accurate review, remote editing sessions, and quality control (QC) workflows, together with an optional Pro membership tier for freelancers.

2. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current information when registering and keep it up to date. Notify us promptly at hello@cmdplus.tech if you suspect unauthorised use of your account.

3. Pro membership

cmd+post Pro is intended for freelancers who wish to run their business through cmd+post, including invoicing, scheduling, and a shareable client-facing portfolio page. Submitting a Pro membership request through our website does not itself create a binding agreement; it is an expression of interest, and we will follow up by email to confirm eligibility, pricing, and onboarding. Information submitted with a Pro membership request (name, email, and area of work) is processed as described in our Privacy Policy.

4. Fees & billing

Access to certain parts of the Service, including Pro membership, may require payment of fees as set out in an order form, plan, or pricing page agreed with you at sign-up. Except as otherwise stated, fees are quoted exclusive of value-added tax (VAT) and any other applicable taxes, which you are responsible for in addition to the stated fees. Fees are billed in advance on a recurring basis unless otherwise agreed, and are non-refundable except as required by law or as expressly stated at the time of purchase. We may change our fees on reasonable notice, effective from your next billing cycle.

5. Customer content & data

"Customer Content" means all media, files, project data, talent and client records, invoices, notes, and other content that you or your organisation upload to, or generate within, the Service. As between you and cmd+post, you retain all ownership rights in your Customer Content. You grant cmd+post a limited, non-exclusive licence to host, store, process, transmit, and display Customer Content solely as necessary to provide and support the Service, including for facility scheduling, review, remote editing, and QC functionality.

You are responsible for having all rights necessary to upload Customer Content and for ensuring your use of the Service, including any personal information about your own clients, talent, or crew that you upload, complies with applicable law.

6. Data protection & roles

Our respective data protection obligations are described in our Privacy Policy. In general, where Customer Content includes personal information about a Customer's own clients, talent, or crew, the Customer acts as the responsible party (POPIA) / controller (GDPR) for that information, and cmd+post acts as an operator (POPIA) / processor (GDPR), processing it only on the Customer's instructions and as necessary to provide the Service, and implementing appropriate security safeguards as described in our Privacy Policy.

7. Acceptable use

You agree not to use the Service to:

  • upload content that is unlawful, infringing, defamatory, or that you do not have the right to share;
  • attempt to gain unauthorised access to the Service, other accounts, or related systems;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
  • introduce viruses, malware, or other harmful code, or interfere with the integrity or performance of the Service;
  • use the Service to send unsolicited communications or to scrape or harvest data about other users; or
  • use the Service in violation of applicable export control, sanctions, or other laws.

8. Third-party services

The Service may integrate with, or rely on, third-party infrastructure and tools such as cloud hosting, storage, payment processing, and communication providers. We are not responsible for the availability or performance of third-party services, though we select providers that we reasonably believe maintain appropriate security and reliability standards.

9. Intellectual property

Excluding Customer Content, the Service, including its software, design, trademarks (including "cmd+post"), and underlying technology, is owned by cmd+post or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you in our intellectual property.

10. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service using at least the same degree of care it uses for its own confidential information of similar nature, and not to disclose it to third parties except as necessary to perform its obligations, as permitted under this agreement, or as required by law.

11. Availability & support

We aim to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, and may suspend access temporarily where reasonably necessary for security, legal, or operational reasons. Support is available at hello@cmdplus.tech.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits any statutory rights that cannot lawfully be excluded.

13. Limitation of liability

To the maximum extent permitted by law, cmd+post will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees paid by you to cmd+post in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for gross negligence or wilful misconduct.

14. Indemnification

You agree to indemnify and hold cmd+post harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Customer Content, your breach of these Terms, or your violation of applicable law or third-party rights.

15. Term, suspension & termination

These Terms remain in effect for as long as you use the Service. We may suspend or terminate access to the Service, with notice where reasonably practicable, if you breach these Terms, if required by law, or to protect the security or integrity of the Service. You may terminate your account at any time by contacting us. On termination, your right to use the Service ceases, and we will make Customer Content available for export or deletion for a reasonable period, as described in our Privacy Policy, unless we are required to retain it for longer by law.

16. Governing law & disputes

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict of law principles. The parties submit to the non-exclusive jurisdiction of the South African courts, without prejudice to either party's right to seek interim relief in any competent jurisdiction. We encourage users to contact us first at legal@cmdplus.tech to resolve disputes informally.

17. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date, and where changes are material, we will provide reasonable additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. General provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms, together with our Privacy Policy and any order form or plan agreed with you, constitute the entire agreement between you and cmd+post regarding the Service.
